These Terms govern your use of the Luminarsphere™ websites and, where applicable, the Luminarsphere™ measurement platform and related services. Please read them carefully. By using our sites or services, you agree to these Terms.
Luminarsphere™ Inc. ("Luminarsphere," "we," "us," "our") is a Delaware corporation with operations in San Marcos, California. We provide a measurement platform for group experiences, comprising wearable devices (Molaband™), on-site compute hardware (NeuralPulse Node™), analytics, and reporting.
Services supplied to a venue, facilitator, event host or research institution are additionally governed by a separate written agreement (a subscription agreement, event services agreement, statement of work, or research collaboration agreement). Where that agreement conflicts with these Terms, that agreement controls.
The Luminarsphere™ platform is a general wellness and research measurement system. It is not a medical device. It is not intended to diagnose, treat, cure, mitigate or prevent any disease or medical condition. Reports describe how measured signals shifted across a session window; they are not clinical findings and must not be relied upon for any medical purpose. Always seek advice from a qualified healthcare professional regarding any health question or condition.

Where we supply devices or hardware under a subscription or event engagement, that equipment remains the property of Luminarsphere™ Inc. unless expressly agreed otherwise in writing. Customers are responsible for its reasonable care, secure storage, and return in working condition, subject to fair wear and tear, and as further set out in the applicable agreement.
Our sites may link to third-party sites, forms or services that we do not control. We are not responsible for their content, availability or practices, and their inclusion does not imply endorsement.
Our websites and any informational tools are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the sites will be uninterrupted, error-free, or free of harmful components.
Warranties and service levels applicable to paid services, if any, are set out exclusively in the applicable written agreement.
To the maximum extent permitted by law, Luminarsphere™ Inc. and its officers, employees and collaborators will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or relating to your use of our websites or informational tools, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to your use of our websites will not exceed one hundred U.S. dollars (US$100). Liability in respect of paid services is governed by the applicable written agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
You agree to indemnify and hold harmless Luminarsphere™ Inc. from any claims, damages, liabilities and reasonable expenses arising out of your breach of these Terms or your misuse of our websites or services.
We may update these Terms from time to time. The effective date above indicates the current version. Material changes affecting paid services will be communicated to affected customers in accordance with their agreement. Continued use of our sites after an update constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in San Diego County, California will have exclusive jurisdiction over any dispute arising from these Terms, and you consent to their jurisdiction and venue.
